East Africa: Nedbank Bets $842m On NCBA in East Africa Push

Nedbank plans to use its purchase of a 66% stake in Kenya's NCBA Group to expand corporate banking, infrastructure finance and wealth management across East Africa. The South African lender is paying 13.9 billion rand, or about $842 million, for the holding and has received most regulatory approvals. The remaining clearances are expected by late in the third quarter or early in the fourth.

Chief Executive Officer Jason Quinn said Nedbank sees room to bring services including currency, bond and commodity trading to NCBA. Infrastructure finance is another target as Kenya and other East African economies invest in energy, renewables and resources. NCBA has capital ratios of about 20% to 21% and has posted return on equity in the low 20% range.

The deal gives Nedbank a base in Kenya and access to NCBA's operations in Tanzania, Uganda and Rwanda. NCBA has more than 60 million customers and also provides digital services in Ghana and Côte d'Ivoire. The remaining 34% of its shares will continue trading on the Nairobi Securities Exchange after the transaction.

Nedbank also plans to use NCBA's Loop fintech platform outside East Africa. Quinn said the technology can be moved into other markets, including South Africa. The acquisition comes as banks including Access Bank and Absa increase their exposure to Kenya, drawn by its regional links and mobile-money market.

Nedbank reported headline earnings of 8.4 billion rand for the 6 months through June, from 8.3 billion rand a year earlier. Net interest income rose 4% to 22 billion rand and non-interest income increased 10% to 16.2 billion rand. Impairment charges climbed 26% to 4.8 billion rand, putting more focus on the returns the NCBA transaction can generate as Nedbank commits capital to regional growth.

The price sets a test for management. Nedbank is paying 13.9 billion rand for control, with 20% of the consideration in cash and 80% in new Nedbank shares. NCBA's capital levels and returns provide support for the deal, but Kenya's banking market has large competitors including Equity and KCB. The value of the acquisition will depend on whether Nedbank can grow corporate lending, infrastructure deals, wealth management and digital services without weakening returns or increasing credit losses.
