SK hynix is facing growing governance scrutiny after reports emerged that its U.S. subsidiary Solidigm is reviewing a potential pre-IPO fundraising and a future Nasdaq listing, reviving concerns in South Korea’s capital market over multi-layer shareholding structures and the impact on minority shareholders.

According to market reports, Solidigm is discussing a pre-IPO fundraising that could value the company at between 5 trillion won, or approximately $3.54 billion, and 10 trillion won, with Morgan Stanley and Goldman Sachs reportedly involved as underwriters. SK hynix said in a regulatory filing that no decision has been finalized and that it plans to provide an updated disclosure by early next month.

Solidigm was established after SK hynix acquired Intel’s NAND memory business for $8.8 billion in 2021. The company has since become a key part of SK hynix’s NAND business and is viewed as a potential U.S.-listed semiconductor asset.

The proposal has drawn criticism from the Korea Corporate Governance Forum, which argued that the structure could amount to a five-layer shareholding chain extending from Chairman Chey Tae-won through SK Inc., SK Square, SK hynix, NAND Product Solutions and Solidigm. The forum said such a structure raises concerns about overlapping listings and the protection of minority shareholder interests.

The forum also noted that global semiconductor leaders such as Nvidia and Taiwan Semiconductor Manufacturing Co. do not generally pursue subsidiary listings of this kind. It further pointed to the capital-call structure involving affiliates including SK Telecom, SK Inc. and SK Innovation as an area requiring closer scrutiny from investors.

Questions have also emerged over the financing rationale. As of the end of the second quarter, SK hynix held about 88 trillion won in cash and cash equivalents, up 33.6 trillion won from the previous quarter, while its operating margin stood at about 76%. Market participants have therefore debated whether the transaction is intended primarily for capital raising or for broader strategic and financial restructuring purposes.

Brokerages remain divided. Toss Securities said that if a separately listed entity retains a portion of future earnings and cash flows, the transaction could be viewed as unfavorable for existing SK hynix shareholders. Mirae Asset Securities, by contrast, said the move should be viewed in the context of recovering part of the investment made through the Intel NAND acquisition and securing funding for future investments, adding that the impact of a partial stake sale on SK hynix’s overall valuation may be limited.

Investor concerns have coincided with relative share-price weakness. From the close on Aug. 5 through Aug. 13, Samsung Electronics rose 6.8%, while SK hynix fell 4.9%. The stock has also retreated about 46% from its June peak, despite strong demand for high-bandwidth memory used in Nvidia’s AI systems.

With no final decision announced, investors are now focused on whether SK hynix proceeds with a pre-IPO and potential Nasdaq listing of Solidigm and on how the company’s board addresses questions related to shareholder value and governance.
